The terms and conditions are made between us, PAPERPLUS ("Paperplus.co.uk.") and you, the "Customer" in respect of purchases of goods from the Paperplus.co.uk Web Site.

1. PURCHASE ORDERS FOR GOODS
1.1 Purchases can only be accepted for delivery within the UK Mainland.
1.2 Each purchase order from www.paperplus.co.uk shall be deemed to incorporate these items and conditions.
1.3 The display of products on www.paperplus.co.uk. constitutes an invitation to treat and not a formal offer.
1.4 An offer will be made by the Customer on the completion of the purchase process contemplated in the ordering process set out in these pages.
1.5 An offer is only accepted by Paperplus and Paperplus only agrees to be contractually bound when Paperplus despatches a confirmation of order to your e-mail address/postal address/fax number, depending on the method of ordering adopted.
1.6 Goods are sold subject to availability and, in relation to certain specific goods, there are geographical restrictions.
1.7 Paperplus reserves the right to alter the specification of the goods insofar as the performance of such goods is not materially altered.

2. PRICES AND PAYMENT
2.1 Payment shall be made in UK pounds sterling only.
2.2 Payment shall, subject to Paperplus agreement to the contrary, be made in accordance with the conditions of payment from time to time adopted by Paperplus. which for the time being are (a) for account holders, 30 days from the date which the customer is invoiced; and (b) for Customers who are not account holders, payment will be required at the time of ordering. Paperplus reserves the right to charge interest on overdue amounts at the rate of 3% per annum above the base rate from time to time of Royal Bank Of Scotland PLC from the due date until actual payment before any judgement, calculated on a daily basis and compounded monthly.
2.3 In addition to the list price of goods, Paperplus reserves the right to make an extra charge for deliveries, the price of which will be shown at the point of ordering.
2.4 Ownership of goods shall not pass until cash or cleared funds for the full price have been received by Paperplus. Until the property of the goods has passed to the Customer, the Customer shall act as bailee of the goods for Paperplus and, so far as reasonably practicable, shall store the goods so that they are readily identifiable as the property of Paperplus.
2.5 Paperplus reserves the right to refuse and to cancel an account and/or delivery at any time. In such circumstances, if the Customer has paid for relevant goods, a refund or credit note shall be issued.
2.6 Prices for goods are exclusive of Value Added Tax and other sales tax unless otherwise indicated in the ordering process.

3. DELIVERY
3.1 Delivery dates are approximate. Delivery shall be deemed to take place on the date of the first attempt at delivery to the customer's premises or other place specified for delivery. All goods must be signed for by an adult aged over 18 years or over on delivery, if no-one is at the address when the delivery is attempted the goods may be retained by the driver.
3.2 Working days are Monday to Friday excluding Any Bank of Public Holidays.
3.3 Each order or each instalment of an order shall constitute a separate contract.

4. GUARANTEES AND LIABILITY
4.1 Goods sold by Paperplus are sold with guarantee that they will be free of defects in material or workmanship at delivery and, provided they are used in the proper way, for the relevant period from delivery as indicated at the point of ordering.
4.2 Paperplus accepts no liability for defects in goods resulting from customer designs or requirements, or arising from wear and tear, wilful damage, negligence or misuse.
4.3 Information on www.paperplus.co.uk may contain inaccuracies or typographical errors. Information and product specifications, including information relating to price and availability may be changed or updated without notice. No guarantee is given that the information accessible via www.paperplus.co.uk may be temporarily unavailable from time to time. Nothing on www.paperplus.co.uk shall be construed as a condition, warranty or representation.
4.4 Except as otherwise stated in these terms, Paperplus entire liability in respect of a particular good that has passed into the ownership of a customer and the customer remedies shall be limited to, at Paperplus option and in accordance with its returns policy from time to time, a credit note in respect of the amount paid by the customer to Paperplus for such goods; or the replacement or repair of the goods by Paperplus.
4.5 Nothing in these terms shall limit or exclude liability for death or personal injury caused by negligence or for fraudulent misrepresentation, but except as otherwise stated in these terms and conditions, all conditions, warranties, terms and undertakings express or implied statutory of otherwise are hereby excluded to the fullest extent permitted by law.
4.6 Paperplus shall have no liability to the customer for indirect or consequential loss.

5 DATA
5.1 Paperplus is a registered user under the Data Protection Act 1984. Any personal data held may be used to send you further information about products in which you may be interested or to inform you of important functionality changes to the www.paperplus.co.uk Web Site and may be shared with our business partners. However, you may notify Paperplus that you do not wish to receive such information or to have any information shared by e-mailing.

6 GOVERNING LAW AND JURISDICTION
6.1 All sales and purchases via www.paperplus.co.uk and the terms and provisions of any contract or arrangement in relation to such sales shall be governed by and shall be construed in accordance with Scottish Law and shall be subject the non-exclusive jurisdiction of the Scottish Courts.
